These Terms and Conditions (“Terms”) govern all services provided by Purple Square Media (Pty) Ltd (“we”, “us”, “our”) to our clients (“you”, “your”).
By engaging our services, requesting a quotation, or using our website https://purplesquare.co.za, you agree to comply with and be bound by these Terms.

2. Scope of Services

Purple Square Media is a full-service marketing and communication agency offering (but not limited to):

• – Brand strategy and identity
• – Marketing and public relations
• – Digital media and social campaigns
• – Graphic design and printing
• – Web design and development
• – Photography, video, and multimedia production
• – Event branding and communication

Each project’s scope, timeline, and deliverables will be clearly defined in a written quotation or proposal. Any work outside the agreed scope may incur additional costs.

3. Quotations and Proposals

• Quotations are valid for 30 days from the date of issue.

• Acceptance of a quotation or proposal constitutes agreement to these Terms.

• All pricing is quoted in South African Rand (ZAR) and excludes VAT unless otherwise stated.

• Any changes or revisions requested after approval may result in revised timelines or costs.

4. Payments and Billing

• A 50% deposit is required to commence any project unless otherwise agreed in writing.

• The balance is due upon completion of the project or before final delivery/publication.

• Payments may be made via EFT or other approved methods stated on the invoice.

• Late payments (beyond 7 days of due date) may attract a 5% monthly interest charge.

• Work may be suspended until outstanding payments are received.

5. Cancellations and Refunds

• Cancellation of a project after commencement must be submitted in writing.

• Deposits are non-refundable, as they secure time, resources, and administrative costs.

• If work has commenced, you will be billed for all work completed up to the cancellation date.

• Purple Square Media reserves the right to terminate services for breach of contract or non-payment.

6. Revisions and Approvals

• Projects include up to two (2) rounds of reasonable revisions unless otherwise stated.

• Additional revisions beyond the agreed limit may incur extra costs.

• Final approval by the client constitutes acceptance that all work has been reviewed and meets agreed specifications.

7. Intellectual Property and Ownership

• All concepts, designs, and materials remain the property of Purple Square Media until full payment is received.

• Upon full payment, ownership of final deliverables is transferred to the client (excluding open files, raw materials, or stock assets unless stated).

• Purple Square Media retains the right to showcase completed work in portfolios, social media, or case studies for promotional purposes.

• You warrant that any materials or content you provide (logos, text, images, etc.) do not infringe third-party rights.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, or project details shared during the engagement.

9. Liability

While we strive for excellence in all deliverables, Purple Square Media (Pty) Ltd:

• Shall not be held liable for any indirect, consequential, or financial losses arising from project outcomes.

• Does not guarantee specific marketing or business results (e.g., sales increases, search rankings, or audience engagement).

• Will not be responsible for any loss due to external system errors, hosting issues, or third-party service disruptions.

10. Third-Party Services

If your project involves third-party services (e.g., hosting, printing, advertising, or plugins):

• We may act as an intermediary but are not responsible for third-party failures or policies.

• Any additional charges from third parties will be billed separately and must be paid before activation.

11. Deadlines and Delays

• Project timelines are estimated and depend on timely feedback and approvals from the client.

• Delays caused by client inaction, late feedback, or missing content may extend delivery dates.

• Purple Square Media shall not be held liable for any delay resulting from such factors.

12. Data Protection

We handle all client data in accordance with POPIA and our Privacy Policy.
We will not share confidential information with external parties without consent, except where required by law.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa.
Any disputes shall be resolved in accordance with South African law, and the parties consent to the jurisdiction of the High Court of South Africa (Gauteng Division).

14. Amendments

Purple Square Media reserves the right to modify or update these Terms at any time.
The latest version will always be posted on our website with an updated “Last updated” date.
